The BioBeOne website is operated by BioBeOne Inc.

The terms of service set forth the conditions of use of this website as established by BioBeOne Inc.


Article 1. Definitions

These terms have the following meanings in the terms of service:

  1. “The company”: BioBeOne Inc.
  2. “The terms”: The terms of service.
  3. “The site”: The website.
  4. “The services”: A general term to describe the partnering and open innovation services provided by the company's unique BB1 System on the site.
  5. “User”: A person who uses the site (including members).
  6. “Member”: A person who registers on the site to use the services.
  7. “Sub-member”: When a member registers other members of the same organization to give them access to exchanged messages and related functions, any registered member with access to these is referred to as a Sub-member.
  8. “Membership information”: Information on a member registered on the site, including personal information.
  9. “Member account”: An account enabling a member to use the services provided.
  10. “Project information”: Information on projects registered by members on the site, including uploaded attachments.

Article 2. Application

The terms shall apply to any kind of use of the site by users.

By using the site, the user is deemed to have agreed to comply with the terms.


Article 3. Registration, Change, and Cancellation of Membership

You need to register as a member to use the services.

Anyone who wishes to become a member shall register as a member using the method specified by the company for use of the services.

You can log in to your account to change or cancel your registered information.

You must satisfy the following conditions to be able to register:

  1. You must be over 18 years of age.
  2. You must agree to all the provisions of the terms.
  3. You must have no relationship or connection with any criminal organization.

Article 4. Period of Validity of Registered Membership

Registered membership under a paid membership plan is valid for one year after registration and can be renewed by the method specified by the company. If a membership plan is not renewed by the expiration date, it will be changed to the Basic membership plan which is free.

The registered membership under a Basic membership plan (free) is valid for one year after registration and will be renewed automatically every year. However, if a member does not log in for a year, their account will expire and membership will be canceled. When membership is canceled, the project information registered by the member will also be deleted at the same time.


Article 5. Change of membership plan

When a membership plan is changed, the conditions of the new plan will be applied immediately. If a membership plan is downgraded, the number of sub-memberships exceeding the new plan’s conditions will be deleted. When the cumulative capacity of the project information attachments prior to the change exceeds the cumulative capacity of the new plan, documents with a volume equivalent to the excess capacity will also be deleted.


Article 6. Partial Disclosure of Project Information to Members and Disclosure using the Disclosure Function

Members can register project information when they use the services. Members must upload an attachment with a specific explanation of their projects when they register, and the registration of project information is completed when this attachment is uploaded.

The project information registered must be non-confidential information only. It shall not include personal information or information related to personal details.

Some project information can be viewed by all members. You will find information on the items to be disclosed when registering project information and learning how to use the services’ BB1 System.

You may disclose all project information to the members with whom you are in contact including sub-members of both parties by clicking “Disclose Project Info” button. When the members with whom you are in contact including sub-members of both parties access document attachments after disclosure, these documents are automatically downloaded to the computers they are using.


Article 7. Period of Validity of Registered Project Information

There is no specific period of validity established for registered project information. However, once membership is canceled, the member’s registered project information will also be deleted at the same time.


Article 8. Notification Emails and Other Notifications

When our unique BB1 System's automatic matching function finds a matching project, a notification email for the recommended project is sent to members. If there is an unread message on the BB1 System, members (including sub-members) will also receive a notification email for the unread message. These emails and other notifications from the company to members will be sent to the email addresses registered by members. Emails and notifications sent to the email addresses shall be considered as delivered once they are sent.


Article 9. Management of IDs and Passwords

Members are responsible for managing their own IDs and passwords for the services.

Members cannot assign or lend their IDs and passwords to third parties.

If the combination of an ID and a password matches the registered information and a member's account is logged in, the company shall consider this as usage by the member who has registered the ID.


Article 10. Display of the Names of Members' Organizations

The company has the right to list the names of members’ organizations on the list of new members on the site. These shall not be listed if members indicate when registering that they do not wish the names of their organizations to be listed.


Article 11. Membership Fees and Payment Methods

Members registered under the Basic membership plan will not be charged for their membership.

Members registered under a paid membership plan shall pay their fees for use of the services by the method separately specified by the company and displayed on the site at the time of membership registration, renewal or change of membership plan.

Paid membership fees cannot be refunded under any circumstances.


Article 12. Prohibitions

Users shall be prohibited from the following actions when using the site:

  1. Interference with the operation of the site.
  2. Provision of other members’ project information to third parties or acts of disclosing such information on the Internet and other media.
  3. Collection of the personal information of other members.
  4. Stealing the identities of other members.
  5. Registration of multiple members by a single user.
  6. Adverse actions against users and the company.
  7. Actions that violate or may violate laws or public order and morals.
  8. Actions that involve criminal acts.
  9. Other actions deemed as inappropriate by the company.

Users shall be liable to pay compensation for any damages to the company (including damages to third parties and cases where the company has covered such damages) caused by actions in violation of the terms.


Article 13. Suspension of Provision of the Services

The provision of all or part of the services may be suspended or interrupted without advance notification to members in advance if the company deems this necessary for any of the following reasons:

  1. When performing maintenance or inspection of the computer systems.
  2. When the provision of the services becomes difficult due to force majeure, including natural disaster, fire, and power failure.
  3. When a computer or a communication line stops functioning due to an accident.
  4. When the company judges that it is difficult to maintain provision of the services.

Article 14. Control of Access and Cancellation of Registration

If the company determines that a member falls under any of the following categories, it may restrict access to all or part of the services to such members without prior notice, or cancel their membership and delete their project information:

  1. When a member violates any of the provisions of the terms.
  2. When a person who has violated the terms registers as a member.
  3. When false membership information is provided.
  4. When a member is unable to receive emails from the company.
  5. When the company deems that a user is not fit to be a member.

The company is not obliged to disclose the reasons for any decisions it makes.


Article 15. Disclaimer

The company shall assume no liability with regard to users and third parties in any of the following instances:

  1. Disputes, disadvantages, damages arising between members or between a member and a third party concerning the services.
  2. Disadvantages or damages suffered by a member or a third party as a result of information exchanged when using the services (including information registered on the site).
  3. Disadvantages or damages suffered by a member, other members, or a third party due to cancellation of membership.
  4. Disadvantages or damages suffered by a member, other members, or a third party due to deletion of registered project information.
  5. Failure of delivery of any notification due to errors in the registered membership information.
  6. Disadvantages or damages to a member or a third party caused by information disclosed to/downloaded by other members (including sub-members) with whom a member is in contact, as a result of a member clicking “Disclose Membership Info” / “Disclose Project Info” based on their own discretion and responsibility.
  7. Disadvantages or damages to a user or a third party caused by system failure, loss of data, or leakage of information from the site or the services.
  8. Disadvantages or damages to a member or a third party arising from suspension or interruption of the provision of the services.
  9. Accuracy of registered member registration.
  10. Disadvantages or damages to a user or a third party arising in connection with websites linked to the site.
  11. Disadvantages or damages to a user or a third party caused by changes in the contents of the site or the services.
  12. Disadvantages or damages to a user or a third party caused by changes to the terms.
  13. Disadvantages or damages arising as the result of a user acting on the basis of reference translations in a language other than Japanese.

Article 16. Changes in the Terms

The company may change the terms without notifying users. Users shall be deemed to have agreed to any changes in the terms when they use the site after such changes are made.


Article 17. Handling of Personal Information

The company shall handle personal information acquired from users based on a separately defined Privacy Policy.


Article 18. Disclosure of Membership Information

Members may disclose their registered membership information, including their personal information, to the other members with whom they are in contact including sub-members of both parties by clicking “Disclose Membership Info”. If they do not click “Disclose Membership Info”, their registered nicknames are displayed.

When members upload their organization profile documents, these will also be disclosed along with their membership information. When other members with whom they are in contact including sub-members of both parties access these documents, these documents are automatically downloaded to their computers.


Article 19. Intellectual Property Rights

Intellectual property rights about the site belong to the company.


Article 20. Language

The official language of the site, the services, and the terms shall be Japanese. The company provides reference translations in languages other than Japanese for the convenience of users.


Article 21. Applicable Laws and Jurisdiction

The governing law of the terms shall be Japanese law. For all disputes arising in connection with the site, the service, and the terms, the Tokyo District Court of Japan shall be the agreed court of jurisdiction.
